Is there a way to Install ultimate 64x on my 32x machine?

You can not upgrade from 32-bit to 64-bit, so any such installation will completely reformat your drive.

You can only run 64-bit Vista on 64-bit processors. You would need to confirm that your machine is running one. Vista should refuse to install if it determines that you don't have the correct type of processor.
