It depends on your hardware. Vista Ultimate x64 has a lot of built in
drivers. If your hardware will work with these drivers is impossible to tell
without a lot more information.
Be aware that you cannot do an upgrade install from 32 bit to 64 bit. You
will have to backup your data, perform a clean install wiping out the 32 bit
install, install your programs, then restore your data.

On board devices will probably ok. What you need to do is to check that your
external devices are covered. The situation is way better than it was but
there are still some exits without cover..
